Policy Matrix

These Terms and Conditions ("Terms") govern all access to and use of reguwise.net (the "Site"), including any intake submissions, vetting workflows, or participation in the ReguWise operator network. Please read these Terms carefully. They constitute a legally binding agreement between you and ReguWise Logistics LLC, a Florida limited liability company ("ReguWise," "we," "us," or "our").

Acceptance of Terms

By accessing the Site, submitting an intake or application form, initiating credential verification, or participating in any step of the ReguWise operator vetting process, you (“User,” “Operator,” or “Client”) unconditionally accept and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately discontinue use of the Site and all associated processes.

These Terms apply to all categories of users, including: (i) prospective and active independent operators seeking network certification; (ii) enterprise clients, platform partners, and cargo network principals engaging ReguWise for compliance vetting or operator placement; and (iii) any party accessing informational content on the Site.

ReguWise reserves the right to amend these Terms at any time. Continued use of the Site following notice of any modification constitutes acceptance of the revised Terms. The most current version will be maintained at reguwise.net.

Intellectual Property Rights

All content, materials, frameworks, methodologies, and marks on or associated with the Site are the exclusive intellectual property of ReguWise Logistics LLC and are protected under applicable U.S. and international copyright, trademark, and trade secret law.

The following are proprietary assets of ReguWise Logistics LLC:

  • Documentation Before Assumption™ — a registered trademark and core operational philosophy of ReguWise;
  • Aviation Logistics & Terminal Fluency™ — a registered trademark representing ReguWise’s proprietary training discipline;
  • The ReguWise Independent Operator Certification program, including all nine (9) modules, their structure, sequencing, and underlying instructional content;
  • All intake forms, vetting workflows, scoring rubrics, credential matrices, and operator readiness standards; and
  • All Site graphics, design elements, brand marks, copy, and visual identity assets. 


No content, terminology, methodology, framework, or graphic element from the Site may be copied, reproduced, distributed, displayed, adapted, sublicensed, sold, or otherwise used outside of authorized platform integrations without the prior express written consent of ReguWise Logistics LLC. Unauthorized use constitutes infringement and will be pursued to the full extent permitted by law.

Authorized enterprise clients and platform partners may use ReguWise materials solely to the extent, and in the manner, expressly set forth in a separately executed written agreement.

No Employment or Agency Relationship

Nothing in these Terms, on the Site, or within any ReguWise intake, vetting, or certification process shall be construed to create an employment relationship, agency relationship, joint venture, partnership, franchise, or guaranteed contractual engagement between ReguWise and any User, Operator, or Client.

Specifically, and without limitation:

(a) Submission of an operator intake application or expression of interest does not constitute an offer of employment, an offer of contract, or a commitment to deploy;

(b) Completion of TWIC/TSA Security Threat Assessment (STA) verification, health clearances, or any website readiness checklist step does not guarantee network admission, placement, or remuneration; and

(c) Operators admitted to the ReguWise network are independent professionals solely responsible for managing their own compliance lifecycles, insurance obligations, tax reporting, and operational conduct.


ReguWise does not exercise direction or control over the day-to-day work of independent operators and assumes no liability for their acts, omissions, or compliance status post-certification.

User Representations & Credential Integrity

By submitting any information to ReguWise — including but not limited to identity documents, TWIC card standing, TSA Security Threat Assessment milestones, hazardous materials endorsements, commercial driving records, health and safety certifications, or professional references — you represent, warrant, and covenant that:

 

(a) All submitted information is true, accurate, current, and complete as of the date of submission;

(b) All credentials, licenses, certifications, and clearances referenced in your submission are active, valid, and in good standing under applicable federal, state, and industry authority; and

(c) You will promptly notify ReguWise of any material change to the status, validity, or standing of any submitted credential.

ReguWise reserves the right to conduct independent verification of any submitted information at any time. Any submission of falsified, fraudulent, expired, suspended, revoked, or materially misleading credentials or information will result in immediate and permanent termination of network access, without notice and without liability to ReguWise. ReguWise further reserves the right to report confirmed fraudulent submissions to relevant federal, state, and industry regulatory authorities.

Limitation of Liability

ReguWise Logistics LLC operates as an asset-light logistics compliance and vetting network. ReguWise does not own, operate, or control transportation equipment, cargo facilities, or enterprise dispatch platforms, and is not a carrier, freight broker, or direct employer of any operator in its network.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REGUWISE LOGISTICS LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR:

(i) Any direct, indirect, incidental, consequential, punitive, or special damages arising out of or related to your use of, or inability to access, the Site;

(ii) Site downtime, technical failures, data transmission errors, or interruptions caused by hosting infrastructure, third-party service providers, or events outside ReguWise’s control;

(iii) Disruptions, delays, failures, or errors originating from external enterprise platforms, cargo network systems, or third-party technology integrations;

(iv) Operator unavailability, deployment gaps, or network capacity limitations; or

(v) Any acts, omissions, errors, or conduct of independent operators in the ReguWise network following their certification.

In jurisdictions that do not permit the exclusion of certain warranties or limitations on incidental or consequential damages, ReguWise’s liability shall be limited to the maximum extent permitted by law. In no event shall ReguWise’s aggregate liability to any User or Client exceed five hundred U.S. dollars ($500.00).

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law rules or principles. You consent to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida for the resolution of any dispute arising out of or relating to these Terms or your use of the Site.

Prior to initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve any dispute through direct written notice to the other party describing the claim in reasonable detail. Formal proceedings shall not be commenced until thirty (30) days following such notice, unless injunctive or emergency relief is required.

Miscellaneous

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

Entire Agreement. These Terms, together with any written agreements separately executed between ReguWise and a Client or Operator, constitute the entire agreement between the parties with respect to their subject matter and supersede all prior representations, negotiations, or understandings.

No Waiver. ReguWise’s failure to enforce any right or provision of these Terms on any occasion shall not constitute a waiver of that right or provision.
